Terms of Service

1. Acceptance of Terms

By accessing or using the Reputation platform ("Platform", "we", "us"), including any of its features, smart contracts, or interfaces, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

These terms apply to all users, token creators, traders, and any other person interacting with the Platform in any capacity.

2. Description of Service

Reputation is a decentralized launchpad built on the Terra Classic blockchain that allows users to create and trade reputation-backed tokens via a bonding curve mechanism. The Platform provides a front-end interface to interact with deployed smart contracts. It does not custody funds, hold tokens on your behalf, or execute transactions without your explicit on-chain approval.

3. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that:

  • You are of legal age in your jurisdiction to enter into binding agreements
  • You are not located in, or a resident of, any jurisdiction where use of the Platform would be prohibited by law
  • You are not subject to any sanctions administered by any governmental authority
  • You will not use the Platform for any unlawful purpose

4. Risk Disclosure

Trading tokens on bonding curves carries significant financial risk. You acknowledge and accept the following risks:

  • Total loss of funds. Token prices can go to zero. You may lose all funds you invest.
  • Liquidity risk. Bonding curve tokens may have limited liquidity. You may not be able to sell at a price you consider fair.
  • Smart contract risk. Smart contracts may contain bugs or vulnerabilities that result in loss of funds.
  • Regulatory risk. The regulatory treatment of cryptocurrency tokens is evolving and uncertain. Changes in law may affect your ability to trade or hold tokens.
  • Sell decay penalty. Selling tokens within 14 days of purchase incurs a decay penalty that reduces the amount of LUNC you receive.
  • No guarantees. Graduation to a DEX listing is not guaranteed. Token creators may not fulfill stated goals or intentions.

Reputation tokens are not securities, investment products, or financial instruments. Nothing on this Platform constitutes financial, legal, or investment advice.

5. Token Creation

By creating a token on the Platform, you agree that:

  • You will not create tokens to defraud, mislead, or harm other users
  • You will not misrepresent your identity, credentials, or the nature of the reputation being tokenized
  • You accept that the listing fee is non-refundable once the transaction is confirmed on-chain
  • You are solely responsible for the accuracy of all information you provide in connection with your token
  • You grant the Platform a non-exclusive license to display your token name, symbol, description, and image on the Platform

6. Referral Program

The Platform operates a referral program whereby eligible users may earn a portion of the listing fee when they refer new token creators. To be eligible, a referrer must have previously launched at least one token on the Platform. Self-referral is prohibited and will be rejected by the smart contract. Referral rewards are distributed automatically on-chain and are non-reversible. The Platform reserves the right to modify or discontinue the referral program at any time.

7. Prohibited Conduct

You agree not to:

  • Use the Platform for any illegal purpose or in violation of any applicable law or regulation
  • Attempt to manipulate token prices through wash trading, coordinated pump-and-dump schemes, or other manipulative practices
  • Attempt to exploit, hack, or reverse engineer any smart contract or Platform component
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Platform to launder money or finance terrorism or other illegal activities
  • Interfere with the proper operation of the Platform or any connected infrastructure

8. Fees

The Platform charges the following fees:

  • Listing fee: $50 USD equivalent in LUNC or ADDVOW, charged at token creation
  • Buy fee: 1.5% platform fee on all purchases
  • Sell fee: 1.0% platform fee on all sales, plus 0.5% reflection distributed to token holders
  • Sell decay penalty: A sliding penalty of up to 6% applied to sells within 14 days of token creation, decreasing to 0% at day 14

All fees are subject to change. Fee changes will be announced and will not apply retroactively to existing transactions.

9. Intellectual Property

The Platform's interface, branding, and content are the intellectual property of Reputation. You may not copy, reproduce, or distribute any part of the Platform without prior written consent. Token creators retain ownership of content they submit but grant the Platform a license to display it.

10. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPUTATION AND ITS CONTRIBUTORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL REPUTATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF FUNDS, LOSS OF DATA, OR LOSS OF PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

Because the Platform interacts with public blockchains, we have no ability to reverse, cancel, or modify any transaction once it has been confirmed on-chain.

11. Modifications

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through binding arbitration where permitted by law. You waive any right to participate in a class action lawsuit or class-wide arbitration.
